Domiciling a company consists of establishing the registered office of a legal entity at a specific address.

Although this process may seem straightforward at first, there are many pitfalls that must be avoided in order to ensure proper domiciliation within the legal framework defined by the law of May 31, 1999.

In order to comply with this legal framework, we have entered into a partnership with an accounting firm.

Article 1 (1) of the Law of May 31, 1999: "When a company establishes its registered office with a third party in order to carry out activities within the scope of its corporate purpose and this third party provides any services related to these activities, the company and this third party, called the domiciliary, are required to enter into a written domiciliation agreement."

The obligations of the domiciliary:

• Comply with the regulatory framework specific to domiciliation.
• Practice a profession authorized by law to carry out this activity.
• Enter into a domiciliation agreement with their client.
• Verify that the company being domiciled with them has its registered office located at its main establishment.
• Know the identity of their client.
• Monitor the domiciled company and, for this purpose, implement appropriate internal control measures.
• Comply with obligations related to the fight against money laundering and terrorist financing.
• Terminate the domiciliation agreement with immediate effect if the statutory bodies and/or representatives of the company violate the legal provisions on commercial companies.

The obligations of the domiciled company:

• Comply with the regulatory framework specific to domiciliation.
• Have a patrimonial type of company (Soparfi / Holding) or SPF for the management of a family estate.
• Enter into a domiciliation agreement with our partner Fiduciary.
• Comply with KYC (Know Your Customer) obligations.
